End-User License Agreement

“Software” means the CX Composer for Liferay plugin, in all forms (VS Code extension, JetBrains IntelliJ Platform plugin) and all updates, releases, and modifications made available by Licensor.

“Free Tier” means the subset of Software functionality made available without a paid License Key, as described at /pricing.

“Pro Tier” means the paid functionality unlocked by activating a valid License Key.

“License Key” means the alphanumeric string issued to You by Licensor (via its authorized reseller, Gumroad) upon purchase of a Pro subscription.

“Machine” means a single physical or virtual computer identifiable by a stable installation fingerprint (macOS/Linux/Windows workstation, VM, container).

“Third-Party API” means an AI model provider (Anthropic, OpenAI, Google, Groq, Azure OpenAI, Ollama, or similar) that You elect to use via the Software’s Bring-Your-Own-Key (BYOK) integration.

Subject to the terms of this Agreement and, for Pro Tier features, payment of the applicable fees:

• Licensor grants You a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on Machines You own or control, solely for Your own internal development purposes.
• Each Pro License Key entitles activation on one (1) Machine at a time. To move a License Key to a new Machine, sign out on the previous Machine or contact support.
• The Free Tier is licensed on the same terms, without payment and without the per-Machine binding.

You will not, and will not permit any third party to:

• Copy, modify, adapt, translate, or create derivative works of the Software.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or internal structure of the Software, except to the limited extent applicable law expressly permits and prohibits waiver.
• Rent, lease, lend, sell, resell, sublicense, distribute, host, or otherwise commercially exploit the Software or a License Key, in whole or in part.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
• Use the Software to build a directly competing product, or to benchmark the Software for the purpose of publishing comparative benchmarks, without Licensor’s prior written consent.
• Circumvent, disable, or interfere with any license-enforcement, telemetry, or update mechanism of the Software.
• Share a Pro License Key with anyone outside Your organization, or activate a Pro License Key on more Machines than Your subscription entitles.

The Software is licensed, not sold. Licensor and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not grant You any rights other than those expressly set out here. All rights not expressly granted are reserved.

Feedback, bug reports, feature requests, and suggestions You provide are non-confidential; You grant Licensor a perpetual, royalty-free, worldwide license to use them for any purpose.

Pro Tier access requires a valid, paid subscription purchased through Licensor’s authorized reseller (Gumroad). Subscription plans and prices are published at /pricing and may change from time to time; changes apply to renewals after the change takes effect.

Subscriptions renew automatically at the end of each billing period unless canceled through the reseller’s customer portal. Failure to renew ends Pro Tier access when the current period expires; Free Tier access continues.

Refunds. Licensor offers a 30-day money-back guarantee on any first-time subscription purchase, at Licensor’s sole discretion. Refund requests may be made by emailing hello@cxcomposer.dev.

Your code stays on Your Machine. The Software does not upload Your source code, Your client-extension.yaml, Your API keys, or Your license key to Licensor’s servers.

License verification. When a Pro License Key is activated or reverified, the Software transmits the License Key and a stable, hashed Machine identifier to the reseller (Gumroad, api.gumroad.com) solely to validate the subscription and enforce the one-Machine-per-key rule. Reverification runs every 7 days, with an additional 7-day offline grace period.

Anonymous activation telemetry. On plugin activation and once weekly thereafter, the Software transmits an HMAC-signed ping to Licensor containing: hashed Machine identifier, plugin version, host IDE version, operating system, CPU architecture, locale, timezone, and license state (active or unlicensed). No email addresses, usernames, file paths, or user content are included. You may disable telemetry entirely via the setting cxComposer.telemetry.enabled (VS Code) or cxcomposer.telemetry.enabled (JetBrains).

BYOK AI features. If You configure a Third-Party API for the AI features (Draft with AI, Explain with AI), Your prompts and Your API key are sent directly from Your IDE to the Third-Party API provider You selected. Licensor never proxies, stores, or has access to those requests. Your use of a Third-Party API is subject to that provider’s own terms and privacy policy. Ollama runs locally on Your Machine and transmits nothing off-Machine.

API-key storage. Your Third-Party API keys and Your License Key are stored in the operating-system secret store (macOS Keychain, Windows Credential Manager, Linux Secret Service — via VS Code SecretStorage or IntelliJ’s PasswordSafe). They are not written to disk in plaintext by the Software.

Public forms. If You submit the contact form or newsletter-signup form on the website, Licensor stores Your email address, IP hash, coarse country (from Vercel edge), user-agent string, and referrer for the purpose of responding to Your inquiry or sending the newsletter. You may unsubscribe from the newsletter at any time.

The Software incorporates open-source components licensed under their own terms; a list of such components and their notices is available on request at hello@cxcomposer.dev.

The Software references publicly-documented Liferay Client Extension schemas and public OpenAPI schemas to provide autocomplete and validation. No Liferay-copyrighted source code is redistributed. Liferay® and Liferay DXP® are registered trademarks of Liferay, Inc.; the Software is an independent third-party product not affiliated with, endorsed by, or sponsored by Liferay, Inc.

Third-Party AI providers, hosting providers, and analytics services used by Licensor (Vercel, Neon, Cloudflare Turnstile, Google Tag Manager) are governed by their own terms. Licensor is not responsible for Third-Party services.

This Agreement is effective when You install, activate, or use the Software and continues until terminated.

Termination for breach. Licensor may suspend or terminate Your license immediately if You breach this Agreement, including by circumventing the license-enforcement mechanism, sharing a Pro License Key beyond its terms, or using the Software to build a competing product.

Termination for non-payment. Pro Tier access ends when Your subscription lapses. Free Tier access continues subject to this Agreement.

Effect of termination. On termination, all license rights end and You must stop using the Software and, on request, destroy all copies within Your control. Sections 3 (Restrictions), 4 (Ownership), 6 (Data), 9 (Disclaimer), 10 (Liability), 11 (Indemnification), and 13 (General) survive.

The Software is provided “as is” and “as available”, without warranty of any kind, express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted or error-free operation, or that defects will be corrected. Licensor does not warrant that the Software will meet Your requirements or that its results will be reliable or accurate.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to You in full. In such jurisdictions, warranties are limited to the shortest period and narrowest scope permitted by law.

To the maximum extent permitted by applicable law, in no event will Licensor be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to this Agreement or Your use of the Software, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Licensor was advised of the possibility of such damages.

Licensor’s aggregate liability under this Agreement will not exceed the fees You actually paid to Licensor (or its authorized reseller) for the Software in the twelve (12) months preceding the event giving rise to the claim, or, if no fees were paid, US $50.

The parties agree that these limitations are essential to the basis of the bargain between them, and would not enter into this Agreement without them.

You will defend, indemnify, and hold harmless Licensor from and against any claims, liabilities, damages, and costs (including reasonable attorneys’ fees) arising from (a) Your use of the Software in breach of this Agreement, (b) Your combination of the Software with data, materials, or services not provided by Licensor, or (c) Your infringement of any third-party rights.

You represent and warrant that You are not located in, and will not export or re-export the Software to, any country or to any person subject to United States, European Union, or United Kingdom sanctions or export-control restrictions applicable to software. You will comply with all applicable trade and anti-corruption laws in connection with Your use of the Software.

Governing law and venue. This Agreement is governed by the laws of the United Arab Emirates, as applied by the courts of the Emirate of Dubai, excluding its conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates for any dispute arising out of or related to this Agreement.

Assignment. You may not assign this Agreement without Licensor’s prior written consent. Licensor may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.

Entire agreement. This Agreement, together with the pricing page and any order form referencing it, is the entire agreement between the parties regarding the Software and supersedes all prior or contemporaneous understandings.

Severability. If any provision of this Agreement is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.

No waiver. A failure to enforce any right under this Agreement is not a waiver of that right.

Changes to this Agreement. Licensor may modify this Agreement from time to time. The revised Agreement will be posted at cxcomposer.dev/eula with an updated “Last modified” date. Material changes will be surfaced in the plugin’s release notes. Your continued use of the Software after the effective date of a revised Agreement constitutes Your acceptance of the revised terms.
